Administrative Restoration
Administrative restoration is the fastest method for reinstating a company, but it is limited to specific cases. This process is only available if Companies House struck off your company specifically for failing to file accounts or confirmation statements. You must apply within six years of the strike-off date and have been a director or shareholder at the time of dissolution.
To apply, you must:
-
File all outstanding documents (accounts and/or confirmation statements).
-
Pay all late filing penalties and fees due.
-
Submit the RT01 application form to Companies House.
Use this route if your company was dissolved due to missed filings, and you need it back to continue trading or recover assets.
Restoration by Court Order
Court restoration is required when a company cannot be restored administratively.
You need a court order if the company was voluntarily dissolved, the six-year time limit has passed, or if the applicant is an interested party other than a director or shareholder (e.g., a creditor).
This process is more complex and costly. It involves:
-
Submitting a claim and evidence to the court.
-
Serving the claim on the Registrar of Companies and others.
-
Potentially attending a hearing.
-
Filing any overdue documents after the court grants the order.
Use this route for voluntary dissolutions or when outside the six-year administrative deadline.
